These terms govern your use of dillisdata.com and the introduction service offered by Quordx Capital LLC, a Wyoming limited liability company doing business as DillisData ("DillisData", "we", "us"). By using the site or our service, you agree to them. If you use them for a company, you confirm you are authorized to bind that company.

1. What we do

DillisData is a data agency. We identify companies that pay to license business data (the "buyers"), introduce businesses to them, and help businesses understand and compare their offers. We do not buy, receive, host, process or resell your data. We are not a party to any agreement between you and a buyer, and we do not guarantee that any buyer will make an offer, that any deal will close, or that any buyer will perform its obligations.

2. Our fee

Our service is free to you. Buyers pay us a fee or commission when a deal we introduced closes. That fee is paid by the buyer and is not deducted from the amount the buyer pays you. By using our service you acknowledge that we are compensated by buyers, and you agree that we may receive that compensation. We may also earn a referral fee when you apply to a data licensing program through a link on our site; that fee is paid by the program, not by you. If you have a question about our compensation for a specific introduction, ask us and we will tell you.

3. Estimates are not offers

The estimator on this site produces an indicative range based on formulas that buyers publish publicly, averaged and adjusted by us. It is not an offer, appraisal, valuation or promise of payment. Actual offers depend on the buyer, the contents, volume, quality and age of your records, legal review, de-identification, exclusivity and other terms. Market figures on this site are public reports about other companies, provided for context. DillisData was not involved in those transactions unless we say so.

4. Your responsibilities

• The information you give us must be accurate, and you must be authorized to discuss your company's data.
• You are responsible for deciding whether to license any data, and for making sure any license complies with the laws, contracts and duties that apply to you. These may include privacy and data protection laws, health information laws such as HIPAA, attorney-client privilege and professional rules, confidentiality agreements with customers, employees and vendors, and the terms of the software platforms that hold your records.
• Do not send us files, records, credentials or personal information about your customers or employees. If you do, we may delete them without review.

5. No professional advice

We share our knowledge of the market, but we are not a law firm, accountant, tax advisor, investment advisor or appraiser, and nothing on this site or from us is legal, tax, financial or investment advice. Have your own counsel review any agreement before you sign it.

6. Using the site

You may use this site for your own business purposes. You may not misuse it, attempt to break or overload it, scrape it in bulk, submit false or automated form entries, or use it to violate any law. We may change, suspend or discontinue the site or service at any time.

7. Intellectual property

The site's design, text and the DillisData name and mark belong to Quordx Capital LLC. Third-party names, logos and reports referenced on the site belong to their owners and are cited for information only. Their mention does not imply any endorsement of, or relationship with, DillisData.

8. Third-party links

The site links to news reports and other websites we do not control. We are not responsible for their content, accuracy or practices.

9. Disclaimers

The site and service are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, DillisData and Quordx Capital LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any lost profits, revenue, data or business opportunities, arising out of or related to the site, our service, any estimate, or any agreement between you and a buyer. Our total liability for any claim related to the site or service will not exceed one hundred US dollars ($100).

11. Indemnity

You agree to defend and indemnify DillisData and Quordx Capital LLC against claims arising from your breach of these terms, your violation of law or third-party rights, or any data you license to a buyer.

12. Governing law and disputes

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Wyoming, and you consent to their jurisdiction. Before filing a claim, you agree to contact us at [email protected] and try to resolve it informally for 30 days.

13. Changes and general terms

We may update these terms by posting a new version with a new date. Continued use after an update means you accept it. If any part of these terms is unenforceable, the rest remains in effect. These terms, together with our Privacy Policy, are the entire agreement between you and us about the site.
